Terms of Service.

These Terms of Service ("Terms") govern your use of the website noytindia.com and the NOYT AI platform (together, the "Services"), operated by NOYT INDIA PRIVATE LIMITED ("Noyt India", "we", "our", "us"). By using the Services you agree to these Terms. If you are using the Services on behalf of a business, you confirm that you are authorised to accept these Terms for that business.

1. The Services

NOYT AI is a platform through which a business connects its own WhatsApp Business account and handles customer conversations in a shared team inbox, with contact management, message templates, AI assistance and message history. The website provides information about Noyt India and its services.

2. Accounts

  • You must provide accurate information when creating an account and keep your credentials confidential.
  • You are responsible for all activity under your account and for the actions of team members you invite.
  • Notify us promptly of any unauthorised use of your account.

3. Your WhatsApp Business account

  • The WhatsApp Business account you connect remains yours. You grant NOYT AI permission to send and receive messages on your number only so that we can provide the Services, and you can revoke that permission at any time.
  • Your use of WhatsApp through NOYT AI must comply with Meta's WhatsApp Business terms and policies, including rules on customer consent, template messaging and prohibited content. We may suspend messaging features where required to comply with those policies.
  • WhatsApp conversation charges are set and billed by Meta and are separate from NOYT AI subscription fees unless we agree otherwise in writing.

4. Acceptable use

You agree not to use the Services to:

  • Send spam or messages to people who have not consented to be contacted.
  • Send unlawful, deceptive, harassing or harmful content.
  • Violate any applicable law, or the rights of any person.
  • Probe, interfere with or disrupt the Services, or attempt to access another client's data.

5. Your data

As between you and Noyt India, you own the customer conversations, contacts and other business data you bring to or create in NOYT AI. We process that data only to provide the Services, as described in our Privacy Policy. You are responsible for having a lawful basis (such as consent) to message your customers and to store their information in NOYT AI.

6. AI assistance

NOYT AI can draft, rewrite and summarise messages using the conversation's context. AI outputs are suggestions: they are labelled in the product, and your team reviews them before anything is sent. You remain responsible for the messages your account sends.

7. Fees

Subscription fees for NOYT AI are agreed per engagement and invoiced as set out in your order or agreement with us. Fees are exclusive of taxes and of Meta's WhatsApp conversation charges unless stated otherwise.

8. Suspension and termination

  • You may stop using the Services and close your account at any time.
  • We may suspend or terminate access for material breach of these Terms, for non-payment, or where required by law or by Meta's platform policies.
  • After account closure, your data is deleted within 30 days as described in the Privacy Policy.

9. Intellectual property

The Services, including their software, design and content (excluding your data), are owned by Noyt India and its licensors. These Terms do not grant you any right to use our names, logos or trademarks. WhatsApp is a product of Meta Platforms, Inc.; Noyt India is an independent company and is not affiliated with Meta.

10. Disclaimers

The Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted or error-free, and we are not responsible for the availability of WhatsApp or other third-party services the Services depend on.

11. Limitation of liability

To the maximum extent permitted by law, Noyt India will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, arising out of or related to the Services. Our total liability for all claims in any twelve-month period will not exceed the fees you paid to us for the Services in that period.

12. Governing law

These Terms are governed by the laws of India. Courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction over any dispute arising from these Terms or the Services.

13. Changes

We may update these Terms from time to time. The updated version will be posted on this page with a revised date; material changes to an active subscription will be notified to the account owner.
